The American Chamber of Commerce's Board of Governors is responsible for the management, oversight and vision of all aspects of the organization. In March 2025, we will elect or re-elect SIX members to the Board who will directly work to guide and steer AmCham for a period of two years. We are looking for dynamic, motivated leaders to join our Board to further AmCham's success.

Board term/participation:

1. AmCham Cambodia's Board Members will serve a two-year term to be eligible for re-appointment by election at the Annual General Meeting.

2. Board meetings will be held monthly and Board Members are expected to actively participate in AmCham activities, events, and/or committees. They will be deemed to have resigned from their position if they miss 3 consecutive meetings or 5 meetings in a 12-month period.

Primary Duties:

1. The general duties of the Board and the Board Members are to oversee and make policy decisions with respect to the functioning of any functions/events of AmCham, to promote relations with other associations and other relevant entities, persons and organizations, and to make decisions on matters affecting AmCham, except matters reserved to Members.

2. All Board Members shall be accountable to the Members, and have fiduciary duties to the Members.

3. The Board shall manage and administer the day to day affairs of AmCham, may delegate such supervisory responsibility to the Executive Director, and may appoint committees to manage such affairs and to make recommendations to the Board, as determined by the Board.

4. The Board shall ensure that accounts of AmCham are prepared and maintained showing the sums of money received and expended as well as the assets and liabilities of AmCham.

Qualifications:

1. You must be an AmCham member.

2. You must hold a senior position in your organization.

3. You must be willing to dedicate 6-8 hours per month for AmCham, which includes attending events.

4. The member company or other type of eligible member must have been an AmCham member for at least 1 year from the time of the start of the board election.

5. Physical residency in Cambodia for 6 months prior to the first day of the board election and will have a regular physical presence in Cambodia for at least 9 of 12 months of the year.

6. The candidate must have participated as a speaker, panelist, or officer in at least one AmCham event OR the candidate must have attended at least 2 AmCham events in the last 12 months.

7. There is no history of the individual and/or member company that could reflect poorly on the chamber, including but not limited to: bribery, theft, fraud, investigations, etc.; will render the candidate ineligible for the board.
